These terms govern your use of valleyinstrument.com and purchases, rentals, and services from Valley Instrument Service ("Valley Instrument," "we," "us"). By using the site or doing business with us, you accept them. We wrote them to be read: if anything is unclear, call us at (661) 327-8681 and we will explain it plainly.
Catalog information
Our catalog covers tens of thousands of products across dozens of manufacturers. Descriptions, specifications, and images are compiled from manufacturer data and are provided for convenience. Manufacturers revise products, and despite real editorial effort, errors happen. We may correct catalog information at any time, and nothing on the site is an offer to sell at a particular price or specification.
Pricing and quotes
We are a quote-first distributor. Prices shown on the site are manufacturer list estimates unless expressly stated otherwise; your actual price is set by the written quote our sales desk issues, which may reflect distributor discounts, and is valid for the period stated on the quote. Taxes, freight, and any applicable fees are additional unless the quote says otherwise. Submitting a quote request through the site is not an order and creates no obligation on either side.
Orders and availability
Orders are subject to our acceptance and to product availability from the manufacturer. We do not stock most catalog items; lead times vary by manufacturer and are estimates, not guarantees. If an item is discontinued or repriced by its manufacturer before we accept your order, we will tell you and re-quote.
Rentals, calibration, and repair services
Equipment rentals are governed by the rental agreement issued with the equipment. Calibration and repair services are governed by the service terms on our quote or service order, together with your purchase order as we accept it. Calibrations are performed with NIST-traceable standards and documented accordingly.
Manufacturer names and trademarks
Product names, model numbers, logos, and brands shown in our catalog are trademarks of their respective manufacturers and are used to identify genuine products we sell, rent, and service. Their use does not imply sponsorship or endorsement of this site by any manufacturer beyond the distributor and service relationships we actually hold.
Site content and permitted use
The site's original content, including editorial descriptions, photography we produce, and the site's software, belongs to Valley Instrument Service. You may use the site to research and purchase products for your business. Automated scraping, bulk harvesting of catalog data, and interference with the site's operation are not permitted.
Warranties
New products carry their manufacturer's warranty, which we pass through to you and help you exercise. Our calibration and repair work is warranted as stated on the service documentation. The site and its content are provided as is, without warranty of any kind: to the maximum extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement with respect to the site itself. Nothing here limits warranties that cannot be disclaimed under applicable law.
Limitation of liability
To the maximum extent permitted by law, Valley Instrument is not liable for indirect, incidental, consequential, or punitive damages arising from use of the site or from products or services we supply, and our total liability for any claim is limited to the amount you paid us for the product or service giving rise to the claim. Some jurisdictions do not allow certain limitations; in those cases these limits apply to the fullest extent permitted.
Safety and compliance
Test and measurement equipment must be selected, installed, and used by qualified personnel in accordance with the manufacturer's documentation and applicable codes. You are responsible for confirming that a product is suitable for your application. Some products may expose you to chemicals subject to California Proposition 65; warnings are provided per the manufacturer. Products may also be subject to U.S. export control laws, and you are responsible for compliance with them if you export what you buy.
Governing law
These terms are governed by the laws of the State of California. Any dispute arising from them or from our business together will be resolved in the state or federal courts located in Kern County, California, and you consent to venue there.
Changes
We may update these terms from time to time; the version posted here with the latest effective date applies to site use from that date forward. Terms in effect when we accept an order continue to govern that order.
